Licensing Agreement for Cover Print Usage
between Licensor/Artist, Suzanne M Matheson and Licensee,
the purchaser of stock illustration name.
Your use of this image is your agreement to these terms.

This licensing agreement gives the Licensee limited edition reproductive rights to:

Usage Rights Granted for the Above Stated Illustration
This image is priced and file formatted for one-time non-exclusive North American usage rights.
- Classroom Materials, in print and/or electronic format, for educational programs; or,
- Textbook, Illustrated Book, in print and/or electronic format, with a distribution of up to 10 000 units; or,
- Magazine, Journal, Periodical, Newspaper with a print and/or electronic distribution of up to 10 000 units; or,
- Brochure, Booklet, Folder, Mass Mailing, Circular, Leaflet, Etc. with a single print run and/or electronic distribution of up to 10,000 units; or,
- Poster, billboard, banner, plaque, etc. not posted in rented advertising space, up to 500 copies
Purchase Price for Rights Granted: $ 675.00 (2020 price, may be subject to change)
Reservation of Rights
All rights not expressly granted for any particular stock illustration are retained by the Licensor/Artist, including any electronic rights or usage. Any grant of rights is conditional upon receipt of full payment. Upon receipt of full payment, the Licensor/Artist shall deliver digital files necessary to enable Licensee’s usage rights granted herein. Any use additional to that expressly granted above requires arrangement for payment of a separate fee. Licensor/Artist retains copyright and unlimited usage rights.
Copyright remains the property of the Licensor/Artist unless there is a signed agreement stating otherwise. Legal moral rights of the copyright owner protect a work from associations with unapproved causes or products, and from unapproved alteration or distortion (including overprinting and cropping). Moral rights also require that an artist be credited with their creation; therefore, copyright acknowledgement has been included as part of the image and must not be removed.
A credit line suitable to the design of the page or context will be used. Licensee agrees to pay an additional 50% of the total fee for each failure to include credit line. Credit line is required independent of Artist’s signature, which shall be included at Artist’s discretion unless otherwise negotiated in writing.
Licensor/Artist requests provision from Licensee of sample copies for her portfolio of any printed material that makes use of this illustration.
This Agreement shall be binding upon the parties, their heirs, successors, assigns, and personal representatives. This Agreement constitutes the entire understanding of the parties. Its terms can be modified only by an instrument in writing signed by both parties. This Agreement shall be governed by the laws of the Province of Ontario and courts of such Province shall have exclusive jurisdiction and venue.
